This Partner Code applies to suppliers, contractors, consultants, agencies, vendors, affiliates and other business partners working with or for Prominelis Corp. (“Business Partners”).
Business Partners must act lawfully, ethically and transparently in all activities connected with Prominelis.

Business Partners may not represent or bind Prominelis unless expressly authorized in writing.
Business Partners must not offer, give, request or accept bribes, kickbacks or improper advantages.
Gifts and hospitality must be lawful, modest, occasional and transparent. Cash, cash equivalents, improper benefits and gifts intended to influence decisions are prohibited.
Business Partners must avoid actual, potential and perceived conflicts of interest.
Any ownership, financial, personal, employment or other relationship that may affect cooperation with Prominelis must be disclosed promptly.
Business Partners must comply with sanctions, export control, anti-money laundering and counter-terrorist financing rules.
They must not deal with sanctioned persons, prohibited territories, criminal proceeds, forged documents or suspicious payment structures in connection with Prominelis business.
Business Partners must compete fairly and must not participate in price fixing, market allocation, customer allocation, unlawful information exchange or other anti-competitive conduct.
Any marketing or public communication connected with Prominelis must be truthful, accurate and not misleading. Prominelis’ name, logo or relationship may not be used publicly without written approval.
Business Partners must keep accurate books, invoices, reports and transaction records.
They must not falsify records, hide payments, maintain undisclosed accounts or participate in tax evasion.
Business Partners must protect Prominelis’ confidential information, personal data, client information, commercial materials, technical data, compliance documents and intellectual property.
Such information may be used only for authorized purposes and shared only with persons who have a legitimate need to know.
Business Partners must apply reasonable security measures and promptly notify Prominelis of actual or suspected data or security incidents.
Artificial intelligence tools used in connection with Prominelis work must be used responsibly, lawfully and with appropriate human review.
Business Partners must not use AI in a way that compromises confidentiality, personal data, intellectual property, accuracy or fairness.
Prominelis expects Business Partners to respect human rights and comply with labor, employment, health and safety laws.
Forced labor, child labor, human trafficking, discrimination, harassment, retaliation and unsafe working conditions are not tolerated.
Business Partners must comply with applicable environmental laws and use reasonable measures to manage waste, resources and environmental risks.
Business Partners are responsible for subcontractors engaged in connection with Prominelis work and must ensure that they follow standards consistent with this Code.
Prominelis may request information to verify compliance with this Code.
Suspected violations must be reported promptly. Non-compliance may result in corrective action, suspension, termination of cooperation or legal action.
